Terms of service

These Terms of Service ("Terms") constitute an agreement between you ("Client", "you") and FounderHQ LLP ("we", "us", "Platform Operator"), operating the brand Entity OS (Founder's Office & Co).

Entity OS is a technology marketplace platform that facilitates company incorporation and related administrative coordination in India. We route orders to independent, verified Chartered Accountants (CA) and Company Secretaries (CS) who perform statutory filings (including SPICe+ and related MCA processes) using their own professional credentials and DSC.

FounderHQ LLP is not a law firm, CA firm, or CS firm. We do not provide legal advice. Professional services are rendered by assigned practitioners, not by the Platform Operator as a practising firm.

You represent that you are legally competent to contract under Indian law, that information you provide is accurate, and that you are authorised to act for any directors or subscribers named in an order.

• Quotes include a platform fee and estimated government / statutory charges as disclosed at checkout. Fee snapshots on an order are binding for that order once created.
• Payments are collected online via our payment partner (currently Razorpay). You agree to complete payment only for legitimate incorporation-related services described on the site.
• Government fees, stamp duty, and third-party statutory charges may change by notification; we endeavour to quote accurately and will communicate material changes before further liability is incurred where possible.

• Provide complete and accurate company, director, and KYC information.
• Upload genuine documents and respond promptly to ROC or professional queries.
• Ensure proposed company names comply with applicable naming guidelines.
• Not use the platform for unlawful, fraudulent, or prohibited activities.

After payment and document readiness, a professional may be assigned manually or as per platform rules. Assignment does not create an employment relationship between you and the professional or between the professional and FounderHQ LLP. The professional remains independently responsible for professional standards and MCA filings.

Estimated timelines are indicative. Actual duration depends on document readiness, name availability, ROC processing, and third-party systems (including MCA). Delays caused by incomplete documents, name rejection, ROC queries, or government systems are outside our sole control.

Cancellation and refund rules are set out in our Cancellation & refunds policy, which forms part of these Terms.

Platform software, branding, and content remain the property of FounderHQ LLP or its licensors. You retain rights in documents and data you upload, granting us a limited licence to process them for service delivery.

To the maximum extent permitted by law, FounderHQ LLP shall not be liable for indirect, incidental, or consequential losses; government rejection of names or filings; or professional negligence of assigned CAs/CS beyond amounts paid to us as platform fees for the relevant order (excluding government fee components remitted onward). Nothing in these Terms excludes liability that cannot be excluded under applicable law.

You agree to indemnify FounderHQ LLP against claims arising from false information, unlawful use of the platform, or infringement of third-party rights by materials you provide.

These Terms are governed by the laws of India. Courts at Indore, Madhya Pradesh, India shall have exclusive jurisdiction, subject to mandatory consumer protections where applicable.
